1. Provider and scope#

  1. These General Terms and Conditions (Terms) apply to the use of Sellgrip. The provider and contracting party is ProductTickler B.V., Meerwijkselaan 5, 6571 CM Berg en Dal, Netherlands, KvK 98314696, VAT ID NL868442197B01 ("we").
  2. Sellgrip is intended only for businesses. A business is a person who, when entering into the contract, acts in the course of their trade, business or profession (§ 14 BGB or the corresponding provision in the customer's country). Consumers cannot enter into a contract with us.
  3. By registering, the customer confirms that they are acting as a business.
  4. The customer's own terms and conditions do not apply, even if we do not expressly object to them.

2. Services#

  1. Sellgrip is software for sellers on the Kaufland marketplace. We provide it as an online service (software as a service).
  2. Sellgrip connects to the customer's seller account through the Kaufland Seller API. With Sellgrip, the customer handles orders, shipping, returns, tickets and invoices, analyses profit, costs and payouts, and receives alerts about deadlines, performance metrics and outstanding amounts.
  3. The features included in each plan are listed on the Sellgrip pricing page. We are not obliged to provide features marked there or in Sellgrip as "Planned".
  4. Sellgrip analyses the data supplied by Kaufland and the information entered by the customer, such as purchase prices. The data is synchronised at intervals, not in real time. If information is missing, Sellgrip shows the value as unknown instead of estimating it.
  5. Sellgrip is a tool and does not provide tax, legal or accounting advice. The customer makes their own decisions. They remain responsible for their bookkeeping, their taxes, their invoices and their obligations towards Kaufland and their buyers.
  6. The services do not include, in particular, inventory management, warehouse management or individual advice. We do not guarantee any particular effect on sales, profit, payouts or performance metrics at Kaufland.
  7. We continue to develop Sellgrip and may change features, provided that this is reasonable for the customer. This must not substantially reduce the scope of a paid plan. We give at least 30 days' notice by email of any substantial restriction. The customer may then terminate with effect from the date of the change. For any period after that date that has been paid in advance, we refund the fee pro rata.

3. Account and team#

  1. The contract is concluded when the customer registers and, in doing so, accepts these Terms and the Data Processing Agreement (DPA).
  2. The customer provides accurate information when registering and keeps their login details secret.
  3. The customer can invite further users and assign each of them a role: owner, staff or accounting (read only). The number of users depends on the plan (clause 4).
  4. The customer is responsible for the acts of their users as for their own acts.

4. Plans and prices#

  1. Sellgrip is available in three plans: Free, Pro and Business. The customer can pay for Pro and Business monthly or yearly.
  2. The prices shown on the Sellgrip pricing page at the time of booking apply. At the date of these Terms, the prices are:
  • Free: €0
  • Pro: €39 per month or €348 per year (€29 per month)
  • Business: €89 per month or €708 per year (€59 per month)
  1. All prices are net prices plus statutory VAT. If the customer is established in an EU member state other than the Netherlands and has a valid VAT identification number, the customer accounts for the VAT (reverse charge).
  2. The plans have the following limits:
  • Products (active offers): Free 100, Pro 1,000, Business 10,000
  • Kaufland countries: Free 1, Pro 3, Business all countries supported by Sellgrip
  • Users, including the owner: Free 1, Pro 2, Business 10
  • History: Free 30 days, Pro 12 months, Business unlimited
  1. For more than 10,000 products, we provide a quote on request.
  2. The fee is payable in advance at the start of each billing period. Payments are processed by the payment service provider Stripe, where the customer enters their payment details and receives their invoices.
  3. We give at least 30 days' notice of price changes by email. They take effect only from the next billing period, or for a yearly subscription only from the next renewal; a period already paid for remains at the old price. The customer may terminate until the change takes effect.
  4. If a payment is not made, we may block the features of the paid plan once the paid period has ended. The account then continues on the Free plan. The data is retained.

5. Trial#

  1. New customers can try Pro or Business for 14 days. When starting, they choose the plan and the billing interval (monthly or yearly) and enter payment details with Stripe. The customer pays nothing during the trial.
  2. After 14 days, the trial automatically becomes a paid subscription on the chosen plan and billing interval, at the price set out in clause 4 plus VAT. The plan, amount and date are shown on the checkout page before the trial starts. This does not apply if the customer cancels before the end of the trial.
  3. Three days before the end of the trial, we send the customer an email reminding them of the end date, the amount and how to cancel.
  4. The customer can cancel the trial at any time with one click in the settings under "Plan". A customer who cancels during the trial pays nothing and continues to use Sellgrip on the Free plan.
  5. Each customer can use the trial only once.
  6. A customer who wants to start without a trial chooses "Start for free". This requires no payment details and has no minimum term.

6. Term and termination#

  1. A monthly subscription runs for one month and a yearly subscription for one year. Each renews for the same period unless the customer terminates it beforehand.
  2. The customer can terminate at any time in the settings under "Plan". Termination takes effect at the end of the current billing period. The plan remains available until then. We do not refund fees already paid, except in the cases set out in clauses 2.7 and 11.2. A customer who wants to try Sellgrip first can use the trial (clause 5).
  3. When a paid plan ends, the account continues on the Free plan. The data is retained until the customer deletes the account.
  4. A change to a larger plan or from monthly to yearly billing takes effect immediately. Amounts already paid are credited pro rata. A change to a smaller plan or to monthly billing takes effect at the end of the current billing period.
  5. The customer ends the Free plan by deleting their account in the settings.
  6. The right of either party to terminate without notice for good cause remains unaffected. Good cause for us exists in particular if the customer misuses Sellgrip or is in arrears with two monthly fees.

7. Plan limits#

  1. If an account exceeds its plan's limit for products or Kaufland countries, Sellgrip shows this immediately. The customer then has 30 days to get below the limit or to book a larger plan. This also applies when a trial ends on an account that is larger than the new plan allows.
  2. After these 30 days, the plan's analyses are paused until the account is within the limit again. Data, export, settings and billing remain available.
  3. The customer cannot book a plan whose product or country limit the account already exceeds.
  4. If an account has more users than the plan allows, all existing users can continue to work. Only new invitations are then not possible.
  5. The history determines how far back analyses and the accounting export go.

8. Connection to Kaufland#

  1. The customer connects Sellgrip to their Kaufland seller account by entering the API keys they generate in the Kaufland Seller Portal. The customer warrants that they are authorised to do so.
  2. We store the keys in encrypted form and do not display them again after they have been entered. The customer can disconnect at any time in the settings. We then delete the keys, and Sellgrip stops retrieving new data. Existing analyses are retained.
  3. Sellgrip reads the data in the seller account. Sellgrip changes something in the seller account only when a user triggers it with a click, for example: confirming shipment, entering a tracking number, cancelling, refunding, deciding on a return, replying to or closing a ticket, uploading an invoice, buying a paid shipping label through Kaufland, sending missing product data to Kaufland, or changing the price, minimum price, stock, handling time or status of an offer. Each of these actions is recorded in the action log. Sellgrip changes nothing on its own, including prices and stock.
  4. So that new events arrive faster, Sellgrip registers technical notifications (webhooks) for the seller account with Kaufland.
  5. Kaufland alone decides on its marketplace, its rules, fees, payouts, suspensions and tickets. We are not responsible for these. The same applies to the availability of the Kaufland Seller API, to errors in Kaufland's data and to changes Kaufland makes to the API.
  6. If Kaufland changes or restricts the API, individual features may not work until we have adapted them.
  7. If the customer issues invoices to their buyers through Sellgrip, the customer is responsible for their content, in particular for their own details as the issuer. Sellgrip keeps the issued invoices as PDFs for as long as the account exists. The customer is responsible for meeting their own statutory retention obligations. Before deleting the account, the customer downloads the invoices.

9. Availability#

  1. We make every reasonable effort to provide Sellgrip without interruption. We do not commit to any particular level of availability.
  2. Sellgrip may be briefly unavailable for maintenance and updates. Where possible, we announce major planned maintenance in advance.
  3. We are not responsible for disruptions at Kaufland, at Stripe or in networks beyond our control.

10. Customer obligations#

The customer

  • uses Sellgrip only for their own business and does not share their access with third parties, other than users they invite;
  • does not attempt to access other customers' data, circumvent security measures or query Sellgrip excessively by automated means;
  • checks results and suggested texts before acting on them;
  • keeps the information that Sellgrip needs for analyses and invoices up to date, such as purchase prices and their invoicing details;
  • backs up, via the export, any data they need outside Sellgrip;
  • informs us without undue delay if they notice any misuse of their account.

11. Data export and switching providers#

  1. The customer can download an export of their data in JSON format at any time in the settings. The export is free of charge. Login credentials such as passwords and API keys are not included.
  2. If the customer wishes to switch to another provider or to their own environment, they may also terminate a yearly subscription early for this purpose by notifying us by email at support@sellgrip.com. Termination takes effect two months after receipt of the notice or, at the customer's request, earlier. For the period already paid beyond that date, we refund the fee pro rata for each full month.
  3. When the contract ends, the customer can still export their data for 30 days (transition period). We charge no fees for switching. The customer's rights under Articles 23 to 31 of Regulation (EU) 2023/2854 (EU Data Act) remain unaffected.
  4. After the transition period, we delete the data in accordance with the DPA. If the customer deletes their account themselves, we delete the data immediately.

12. Liability#

  1. We are liable without limitation for intent and gross negligence, for injury to life, body or health, under mandatory product liability law and to the extent that we have given a guarantee.
  2. In cases of simple negligence, we are liable only if we breach a material contractual obligation. This is an obligation whose fulfilment is essential for the proper performance of the contract and on whose fulfilment the customer may rely. Our liability is then limited to the foreseeable damage typical for this type of contract and, per calendar year, to no more than the fees the customer paid us in the twelve months before the event giving rise to the damage, but to at least €1,000.
  3. On the Free plan and during the trial, we provide Sellgrip free of charge. In these cases we are not liable except as set out in paragraph 1.
  4. For loss of data, we are liable only up to the cost that would have been incurred had the customer exported their data regularly.
  5. These rules also apply to our employees and agents.
  6. Claims under Art. 82 GDPR remain unaffected.

13. Data protection#

  1. How we process personal data is set out in the Privacy Policy.
  2. We process the data from the Kaufland seller account, including data of the customer's buyers, on behalf of the customer. The Data Processing Agreement (DPA) applies to this processing. It forms part of this contract.

14. Confidentiality#

Each party keeps the other party's confidential information confidential, including after the contract ends.

15. Changes to these Terms#

  1. We may change these Terms if there is a valid reason, such as new features, new legislation, case law or changes at Kaufland, and the change does not unreasonably disadvantage the customer. We notify the customer of changes by email at least 30 days before they take effect, together with the amended text.
  2. The customer may object until the changes take effect or terminate the contract with effect from that date. If the customer does not object, the changes are deemed accepted. We expressly point out this consequence, the deadline and the right to terminate in the notice. If the customer objects, the contract continues under the previous Terms; we may then terminate it with effect from the date the change would have taken effect.
  3. We do not use this procedure to change prices (clause 4.7 applies) or the scope of services (clause 2.7 applies).

16. Governing law, jurisdiction and language#

  1. Dutch law applies. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply. Mandatory provisions of the country in which the customer is established remain unaffected to the extent that they cannot be derogated from under Art. 3(3) and (4) of Regulation (EC) No 593/2008 (Rome I).
  2. The Rechtbank Gelderland (Netherlands) has exclusive jurisdiction over all disputes arising from this contract (Art. 25 of Regulation (EU) No 1215/2012). We may also bring proceedings against the customer at their place of business.
  3. The German version of these Terms is binding. Translations are for information only.
  4. If any provision is invalid, the remaining provisions remain valid.
